IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES AND EXIT THE REGISTRATION PROCESS. C-BAND MAILBOX IS NOT WILLING TO PROVIDE SERVICES TO ANY PERSON OR ENTITY THAT CANNOT OR WILL NOT AGREE TO ALL TERMS HEREIN.
This Agreement incorporates by reference: (a) the applicable Country-Specific Schedule (Schedule A for Canadian Renters, Schedule B for United States Renters); (b) our Privacy Policy; (c) our Fee Schedule; and (d) any Additional Terms presented to you in connection with specific features or services. You must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts in your jurisdiction of residence. By accepting this Agreement, you represent and warrant that you meet these eligibility requirements.
This document does not constitute legal advice. You are encouraged to seek independent legal counsel before accepting these terms.
3.1 Registration Requirements. To access the Services, you must create an account by providing complete and accurate registration information, including your legal name, email address, physical mailing address, telephone number, and any other information required during the registration process. You agree to promptly update your account information to ensure it remains accurate, complete, and current at all times.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials, including your username, password, and any two-factor authentication methods. You must immediately notify C-Band Mailbox of any unauthorized access to or use of your account. C-Band Mailbox is not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 One Account Per Person. Each individual or legal entity may maintain only one active account on the Platform. Creating multiple accounts to circumvent restrictions, abuse promotions, or for any other unauthorized purpose is prohibited and may result in immediate termination of all associated accounts.
3.4 Account Responsibility. You are solely responsible for all activities that occur under your account, whether or not authorized by you. C-Band Mailbox reserves the right to refuse registration, suspend, or terminate any account at any time if we reasonably believe that account information is inaccurate, that the account has been compromised, or that the account is being used in violation of this Agreement or applicable law.
4.1 Mail Receiving Authorization. By executing this Agreement and using the Services, you expressly and irrevocably authorize C-Band Mailbox and your selected Operator to: (a) receive physical mail and packages addressed to you at your Operator's location; (b) open, inspect, and scan the exterior and interior contents of your mail; (c) digitize and upload scanned mail to your digital mailbox on the Platform; (d) perform Action Requests you submit (such as forwarding, shredding, check depositing, or storage); and (e) process payments and manage your account in accordance with this Agreement.
4.2 Operator Selection. When you register for the Services, you will select or be assigned a Mail Centre Operator to handle your physical mail. C-Band Mailbox does not endorse, guarantee, or assume responsibility for any Operator. Your relationship with your Operator is separate from your relationship with C-Band Mailbox, and C-Band Mailbox is not liable for any acts or omissions of your Operator, including but not limited to mail handling errors, delays, losses, or damages.
4.3 Available Action Requests. Through the Services, you may submit Action Requests with respect to your Mail Items, including but not limited to: (a) scanning the exterior and/or interior of Mail Items; (b) forwarding physical mail to addresses you specify; (c) shredding or recycling unwanted mail; (d) depositing checks to authorized bank accounts; (e) storing mail for future action; and (f) other services as may be offered by your Operator. Availability of specific Action Requests is determined by your Operator and your Subscription Plan.
4.4 Unauthorized Mail. You may not use the Services to receive mail addressed to any person or entity other than yourself or your authorized business, unless you have provided valid legal authorization (such as a power of attorney). Mail received that is not addressed to you may be refused, returned to sender, or handled as required by applicable postal regulations.
4.5 Changes to Services. C-Band Mailbox reserves the right to modify, suspend, or discontinue any feature or functionality of the Services at any time. We will provide at least thirty (30) days' prior written notice of material changes that significantly affect your use of the Services.
4.6 Service of Process. You acknowledge that your PMB address is NOT a domicile or residence and may not be used for service of legal process. Your Operator is not authorized to accept service of process on your behalf.
4.7 Inaction and Storage Fees. If you request mail scanning but fail to submit a subsequent Action Request within ten (10) days after the scanned Mail Item becomes available in your digital mailbox, you may incur storage fees. If you fail to submit an Action Request within thirty (30) days, your Operator may, in its sole discretion, destroy the physical Mail Item by secure shredding or recycling, and you will have no recourse for any loss resulting therefrom.
5.1 Lawful Use. You agree to use the Services only for lawful purposes and in compliance with all applicable federal, provincial/state, and local laws and regulations.
5.2 Prohibited Activities. You agree not to use the Services for any of the following purposes: (a) fraud, including mail fraud, wire fraud, identity fraud, or financial fraud; (b) money laundering or terrorist financing; (c) receiving or distributing proceeds of crime; (d) identity theft or impersonation of another person or entity; (e) any activity that violates applicable postal regulations; (f) circumventing sanctions, export controls, or trade restrictions; or (g) any other activity that is illegal under applicable law.
5.3 Prohibited Items. You may not direct, cause, or knowingly allow the following items to be sent to your PMB address: (a) hazardous materials, including explosives, flammable substances, radioactive materials, and biohazards; (b) controlled substances or illegal drugs; (c) weapons, firearms, or ammunition (except where permitted by law and disclosed in advance); (d) counterfeit goods or materials infringing intellectual property rights; (e) items prohibited by applicable postal regulations; or (f) any item the possession, transportation, or receipt of which is prohibited by applicable law.
5.4 Suspicious Activity Reporting. You must promptly report to your Operator or to C-Band Mailbox any suspicious mail or activity associated with your account. C-Band Mailbox reserves the right to report suspicious activity to law enforcement authorities, including the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), the Financial Crimes Enforcement Network (FinCEN), and applicable postal inspection services.
5.5 Consequences. Violation of this Section 5 may result in immediate termination of your account without refund, referral to law enforcement authorities, and civil or criminal liability.
6.1 Subscription Fees. You agree to pay all subscription fees, Action Request fees, and other charges as set forth in your selected Subscription Plan and the Fee Schedule. All fees are quoted in the currency specified in your applicable Country-Specific Schedule and are due in advance unless otherwise specified.
6.2 Payment Methods and Authorization. You must provide a valid credit card, debit card, or other approved payment method. You authorize C-Band Mailbox to charge your payment method for all fees, charges, and penalties incurred under this Agreement.
6.3 Payment Processing. All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By using our Services, you agree to be bound by Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy (https://stripe.com/privacy). Your payment card details are transmitted directly to Stripe and are never stored on C-Band Mailbox servers. C-Band Mailbox is not responsible for Stripe's handling of your payment information.
6.4 Late Fees. If payment fails or any amount remains overdue, interest will accrue at a rate of one and one-half percent (1.5%) per month on the outstanding balance, or the maximum rate permitted by applicable law, whichever is lower.
6.5 Security Deposits. C-Band Mailbox may require a security deposit at any time to secure your performance under this Agreement. The security deposit may be applied against unpaid amounts. If the security deposit is used, you must restore it to the full required amount within ten (10) days of written request. The security deposit does not bear interest.
6.6 Refund Policy. Fees are generally non-refundable once services have been rendered or Action Requests have been performed. Subscription fees for unused full months remaining in a prepaid period may be refunded at C-Band Mailbox's discretion.
6.7 Suspension for Nonpayment. If you fail to pay any amount when due, your account may be suspended immediately. While suspended, you will not have access to the Services, but charges may continue to accrue. Accounts suspended for nonpayment are subject to the closure process described in Section 7.
6.8 Chargebacks and Payment Disputes. (a) If you believe a charge is unauthorized or incorrect, you must first contact C-Band Mailbox at [email protected] within thirty (30) days of the charge. We will investigate and, if appropriate, issue a refund or credit. (b) Filing a chargeback or payment dispute with your card issuer without first contacting C-Band Mailbox may result in immediate suspension of your account pending resolution. (c) If a chargeback is resolved in favor of C-Band Mailbox, you will be responsible for the original charge plus any chargeback fees incurred. (d) Repeated or frivolous chargebacks may result in termination of your account and forfeiture of any remaining prepaid balance.
7.1 Auto-Renewal. Subscription Plans automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. By subscribing, you authorize recurring charges to your payment method.
7.2 Cancellation by Renter. You may cancel your Subscription Plan at any time through your account settings on the Platform. Cancellation will take effect at the end of the current billing period. The cancellation process is designed to be at least as easy as the initial signup process, in compliance with applicable consumer protection laws.
7.3 Termination by C-Band Mailbox. C-Band Mailbox may terminate this Agreement immediately, without notice, if: (a) you breach any term of this Agreement; (b) you fail to pay any amount when due; (c) you engage in fraudulent, illegal, or prohibited activities; (d) you violate any applicable law or regulation; or (e) C-Band Mailbox determines, in its sole discretion, that your use of the Services poses a risk to C-Band Mailbox, Operators, other users, or third parties.
7.4 Inactive and Closed Accounts. If your account has been suspended for nonpayment or inactivity for more than sixty (60) days, it will be classified as "Inactive." C-Band Mailbox will send you written notice (via email) informing you that your account will be permanently closed within thirty (30) days unless you reactivate it by paying all outstanding fees. If the account is not reactivated within such period, it will be permanently "Closed" and all digital data, mail scans, and account information may be permanently deleted.
7.5 Post-Termination Mail Handling. Upon termination or account closure, you may elect one of the following options for any remaining physical Mail Items: (a) forward all remaining mail to an address you specify, at your expense; (b) arrange for in-person pickup within fifteen (15) days; or (c) authorize your Operator to securely shred and recycle all remaining mail. If you fail to make an election within fifteen (15) days of termination, option (c) will apply by default.
7.6 Effect of Termination. Upon termination: (a) your access to the Services will cease immediately; (b) all pending Action Requests will be canceled; (c) you will remain liable for all fees and charges incurred prior to termination; and (d) the following provisions shall survive termination: Sections 5, 8, 9, 10, 11, 12, 13, and all applicable provisions of your Country-Specific Schedule.

8.2 License Grant. Subject to your compliance with this Agreement, C-Band Mailbox grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or business mail management needs during the Term. You may not: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or disassemble the Services; (c) remove any proprietary notices or labels; (d) use the Services for any illegal or unauthorized purpose; or (e) sublicense, rent, lease, or otherwise transfer your rights under this license.

8.4 Backups. You are solely responsible for maintaining your own backups of any data, documents, or information that you upload to or access through the Services. C-Band Mailbox does not guarantee that data will be recoverable in the event of system failure, data loss, or account termination.
8.5 Feedback. Any feedback, suggestions, or ideas you provide to C-Band Mailbox regarding the Services ("Feedback") will be non-confidential and become the sole property of C-Band Mailbox. C-Band Mailbox may use, modify, and commercialize Feedback without any obligation to you.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. C-BAND MAILBOX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
C-BAND MAILBOX MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE TIMELINESS, RELIABILITY, OR PERFORMANCE OF MAIL DELIVERY BY ANY POSTAL SERVICE, SHIPPING CARRIER, OR OPERATOR. MAIL DELIVERY TIMES AND CONDITIONS ARE SUBJECT TO THE POLICIES AND PERFORMANCE OF THIRD-PARTY CARRIERS AND OPERATORS OVER WHICH C-BAND MAILBOX HAS NO CONTROL.
C-Band Mailbox provides software and platform services only. C-Band Mailbox does not handle, receive, scan, or process any physical mail. All physical mail handling is performed by your Operator, which is an independent third party. C-BAND MAILBOX DISCLAIMS ALL LIABILITY FOR ANY ACTS, OMISSIONS, ERRORS, OR DAMAGES ARISING FROM OR RELATED TO YOUR OPERATOR'S HANDLING OF YOUR MAIL, INCLUDING BUT NOT LIMITED TO LOST, DAMAGED, MISDIRECTED, OR INCORRECTLY SCANNED MAIL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL C-BAND MAILBOX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF C-BAND MAILBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, C-BAND MAILBOX'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO C-BAND MAILBOX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
C-BAND MAILBOX SHALL HAVE NO LIABILITY FOR ANY LOSS, DAMAGE, DELAY, OR MISDELIVERY OF MAIL ITEMS THAT OCCURS AFTER SUCH ITEMS HAVE BEEN HANDED OFF TO A THIRD-PARTY SHIPPING CARRIER FOR FORWARDING.
To the extent that applicable law does not permit the limitations set forth in this Section, these limitations shall apply to the fullest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless C-Band Mailbox, its affiliates, officers, directors, employees, agents, and Operators from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) your breach of this Agreement; (c) your violation of any applicable law or regulation; (d) prohibited items sent to or received at your PMB address; (e) any fraud, misrepresentation, or willful misconduct by you; (f) your infringement of any third-party rights; or (g) any content, information, or materials you provide through the Services.

Material changes will be communicated to you via email or through the Services at least thirty (30) days before they take effect. If you do not agree to the modifications, you may terminate this Agreement at no cost before the changes take effect by providing written notice to C-Band Mailbox. Your continued use of the Services after such changes take effect constitutes acceptance of the modified terms.
13.2 Severability. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
13.3 Entire Agreement. 13.5 Force Majeure. C-Band Mailbox shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, government actions, postal service disruptions, or failures of third-party service providers.
13.6 No Waiver. No waiver of any term of this Agreement shall be effective unless in writing and signed by the waiving party. A waiver of any breach shall not constitute a waiver of any subsequent breach.
13.7 Exclusion of UN Convention. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from this Agreement.
13.8 Notices. All notices required under this Agreement shall be in writing and delivered to: C-Band Mailbox, Winnipeg, Manitoba, Canada, or to the email address associated with your account. The following Canada-Specific Terms apply to Renters whose billing address is located in Canada. These terms supplement the Universal Terms in Part 1 and, where expressly stated, override conflicting provisions of the Universal Terms. In the event of a conflict between these Canada-Specific Terms and the Universal Terms, these Canada-Specific Terms shall prevail for Canadian Renters.
These Canada-Specific Terms apply to all Renters whose billing address is located in Canada. If your billing address changes to a location outside of Canada, the applicable Country-Specific Schedule for your new jurisdiction shall apply prospectively from the date of such change.
This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles that would result in the application of the laws of another jurisdiction.
Subject to the arbitration provisions set forth in Section A2, the courts of the Province of Manitoba shall have exclusive jurisdiction over any disputes arising under this Agreement. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

("ADR Institute"). Arbitration shall be conducted in Winnipeg, Manitoba, Canada, before a single arbitrator.
If you (the Renter) initiate arbitration, C-Band Mailbox will pay the ADR Institute's administrative filing fees. The arbitrator shall allocate all other costs based on the merits of each party's position. The arbitrator's decision shall be final and binding.
Small Claims Court: Notwithstanding the foregoing, either party may elect to bring a claim in the applicable provincial small claims court (or equivalent) instead of arbitration, provided the claim falls within the monetary jurisdiction of such court.
Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE PROVINCIAL LAW, YOU AND C-BAND MAILBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. This waiver shall not apply where prohibited by the law of your province of residence.

CLASS ACTION WAIVER: YOU AND C-BAND MAILBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
This class action waiver is enforceable under the Federal Arbitration Act (FAA), 9 U.S.C. §§ 1-16, which governs the enforcement of arbitration agreements in interstate and international commerce.
Mass Arbitration: If twenty-five (25) or more similar arbitration demands are filed against C-Band Mailbox within a sixty (60) day period, they shall be treated as a mass arbitration under the ICDR's applicable procedures, including bellwether selection and staged proceedings.
Small Claims Court Exception: Notwithstanding the foregoing, either party may elect to bring a claim in small claims court if the claim falls within that court's jurisdictional monetary limits.

You have the right to opt out of the mandatory arbitration provision within thirty (30) calendar days of creating your account.
To opt out, send a written notice to C-Band Mailbox at [email protected] with the subject line "Arbitration Opt-Out" including: (a) your full legal name; (b) your account email address; and (c) a clear statement that you wish to opt out of arbitration.
If you validly opt out, disputes shall be resolved exclusively in the state or federal courts located in Delaware. Opting out will not affect any other provision of this Agreement, and C-Band Mailbox will not retaliate against you for exercising this right.
Pursuant to the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (9 U.S.C. §§ 401-402), the mandatory arbitration clause and class action waiver in this Agreement shall not apply to claims alleging sexual assault or sexual harassment, at the election of the claimant.
If you bring such a claim, you may choose to proceed in a court of competent jurisdiction rather than through arbitration. This right cannot be waived prospectively. This exception applies regardless of whether the claim arises under federal, state, or local law.
